[The Beat Mob] — General Terms of Service

Effective Date: [4-20-2025]

Welcome to [The Beat Mob]’s beat store (The eat Mob Media”). By purchasing, downloading, leasing, licensing, or otherwise using any music, stems, or related content (“Content”) from this Store, you (“You,” “Licensee,” or “Buyer”) agree to the following Terms of Service (“Agreement”).

If you do not agree, do not purchase or use the Content.

1. Ownership

  • All music compositions, sound recordings, stems, and related intellectual property remain the sole property of [The Beat Mob] (“Producer”) unless explicitly sold as Exclusive Rights.

  • Purchasing a license grants you limited usage rights, not ownership of the underlying composition or master recording.

  • Producer retains the right to collect and enforce all royalties, publishing, and credit as outlined in this Agreement.

2. License Types

  • Non-Exclusive Lease (Beat Lease): Grants limited usage rights as defined in the specific lease agreement (see Section 10). Producer may continue licensing the same beat to other clients.

  • Exclusive License: Grants the Buyer exclusive rights to the beat. Producer will no longer license the beat to new clients, but Producer may retain publishing or writing share if agreed.

  • Stems/Trackouts: Provided only for mixing, arrangement, or performance purposes. Redistribution or resale is prohibited.

3. Usage Restrictions

You may not:

  1. Resell, lease, sublicense, transfer, or redistribute the Content.

  2. Claim ownership of the Content, whether as the underlying composition or sound recording.

  3. Register the Content with YouTube Content ID, Facebook Rights Manager, or similar systems without written approval and proper licensing.

  4. Use the Content for unlawful purposes, or illegal advertising.

  5. Exceed the limits of the license purchased (e.g., stream caps, performance restrictions, broadcast rights).

4. Credit

  • Proper credit must be given in all public releases:
    “Prod by [TheBeatMob]”

  • For written, digital, or streaming distribution, credit must be included in the metadata and/or description when possible.

5. Royalties & Publishing

  • Standard industry split applies unless otherwise agreed: 50% Writer’s Share / 50% Producer’s Share (PRO registration: ASCAP, BMI, SESAC, etc.).

  • Buyer must provide accurate metadata and PRO information for registration of works.

  • Any synchronization placements (TV, film, ads, games, etc.) require a separate agreement unless explicitly covered under Exclusive License.

6. Delivery

  • Files (MP3, WAV, stems, etc.) are delivered digitally via download link.

  • Buyer is responsible for downloading, storing, and backing up files. Producer is not responsible for lost files after delivery.

7. Payments & Refund Policy

  • All payments are final. Due to the digital nature of the products, no refunds, exchanges, or chargebacks will be honored.

  • Attempted chargebacks or payment disputes will result in immediate license termination and possible legal action.

8. Breach of Agreement

  • Any violation of this Agreement immediately voids your license.

  • Unauthorized use of Content will be treated as copyright infringement, punishable under U.S. and international copyright law.

  • Producer reserves the right to pursue damages, attorney’s fees, and statutory penalties.

9. Limitation of Liability

  • Producer is not liable for any damages resulting from the use or inability to use the Content.

  • Content is provided “as-is,” without warranty of fitness for a particular purpose.

10. License Terms Summary (General)

  • Non-Exclusive Lease: Limited use (streaming cap, performance cap, no resale).

  • Premium/Unlimited Lease: Extended streaming and performance rights.

  • Exclusive License: Buyer secures sole rights to the beat (Producer may retain publishing).

  • Stems/Trackouts: For Buyer’s mixing/remix purposes only.

11. Governing Law

  • This Agreement shall be governed by the laws of [Kentucky/United States of America].

  • Any disputes shall be resolved in courts of competent jurisdiction within [Louisville, Kentucky].

12. Entire Agreement

This document represents the entire agreement between Buyer and Producer. No oral statements, social media exchanges, or side promises override this Agreement.
